Effective date: May 2026 · These Terms govern your access to and use of the Ygii.ai platform.

1. Acceptance of Terms

By accessing or using ygii.ai (the "Platform"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, you must not use our Platform. These Terms apply to all visitors, users, and businesses that access or use the Platform.

2. About Ygii.ai

Ygii.ai is a corporate gifting platform based in the Kingdom of Saudi Arabia, offering curated gift products and experiences for business occasions. Our Platform enables businesses to browse, order, and manage corporate gifts.

3. Use of the Platform

You agree to use the Platform only for lawful purposes and in accordance with these Terms. You must not:

Use the Platform in any way that violates applicable Saudi law or regulation.
Attempt to gain unauthorised access to any part of the Platform or its related systems.
Transmit any unsolicited or unauthorised advertising or promotional material.
Use the Platform to collect or harvest Personal Data of other users without authorisation.
Impersonate any person or entity or misrepresent your affiliation with any person or entity.

4. Accounts and Access

Certain features of our Platform require account registration. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately at support@ygii.ai of any unauthorised use of your account.

Access to our internal tools (ygii.ai/apps) is restricted to authorised Ygii team members with a valid @ygii.app account. Unauthorised access is strictly prohibited.

5. Products and Orders

All products displayed on our Platform are subject to availability. Prices are displayed in Saudi Riyals (SAR) and are inclusive of applicable taxes unless otherwise stated. We reserve the right to modify prices at any time without prior notice.

By placing an order, you represent that you are authorised to make purchases on behalf of your organisation. Orders are confirmed only upon our written acknowledgement. We reserve the right to refuse or cancel any order at our sole discretion.

6. WhatsApp Ordering

Our Platform facilitates order requests via WhatsApp. By using this feature, you consent to your contact information and order details being shared with our team through WhatsApp Business. WhatsApp's own terms of service and privacy policy apply to your use of that service.

7. Intellectual Property

All content on the Platform, including but not limited to text, images, graphics, logos, product names, and software, is the intellectual property of Ygii.ai or its licensors and is protected under Saudi and international intellectual property laws. You may not reproduce, distribute, or create derivative works from any Platform content without our prior written consent.

8. User Content

If you submit any content to our Platform (including reviews, feedback, or communications), you grant Ygii.ai a non-exclusive, royalty-free, perpetual licence to use, reproduce, and display such content in connection with our services. You represent that any content you submit does not infringe any third-party rights.

9. Limitation of Liability

To the maximum extent permitted by Saudi law, Ygii.ai shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of, or inability to use, the Platform or its products, even if we have been advised of the possibility of such damages.

Our total liability to you for any claim arising from your use of the Platform shall not exceed the total amount paid by you for the relevant order in the preceding three months.

10. Disclaimer of Warranties

The Platform and its content are provided on an "as is" and "as available" basis. Ygii.ai makes no representations or warranties of any kind, express or implied, regarding the accuracy, completeness, reliability, or suitability of any content on the Platform.

11. Third-Party Links

Our Platform may contain links to third-party websites. These links are provided for convenience only. We have no control over the content of those sites and accept no responsibility for them or for any loss or damage that may arise from your use of them.

12. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts in Riyadh, Saudi Arabia.

13. Modifications to Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to the Platform. Your continued use of the Platform after any changes constitutes your acceptance of the revised Terms. We will notify you of material changes via the Platform or by email.

14. Termination

We reserve the right to suspend or terminate your access to the Platform at any time, with or without notice, for conduct that we believe violates these Terms or is harmful to other users, us, third parties, or for any other reason at our sole discretion.
